Dear Sir,

With reference to your application and the subsequent interview, we have the pleasure in hiring your services in our Company as “Consultant – Legal & Taxation Affairs” on the following terms and conditions   :

1.   a) Fees:  For the services rendered by you, you will be paid Consolidated
                    Remuneration of Rs. 45,000/- (Rupees Forty Five Thousand)
                   Only.
                  
b) You will be required to join duty at our Head Officer on or before 12th
     October, 2011.

2.   Tenure:  This contract of hiring will be for an initial period of one year from the date of your reporting, subject to renewal for such period and on such terms and conditions as the Management will deem fit and proper.

3.   Duties and Obligations  :

i)             You will be responsible, primarily on following activities at our Head Office at New Delhi:

(a)         Sales Tax/VAT/CST/Entry Tax.
(b)         Service Tax.
(c)         Central Excise.
(d)        Custom Duty.
(e)         Any other applicable Law pertaining to indirect taxes.
(f)          Any  other legal or taxation matter.

ii)           During the tenure of your hiring, you shall be available for 24 days per month and at least 21 days per month. You shall diligently promote and safeguard the interests of the Company and comply with such instructions as you may from time to time receive from the management or the representatives of the management.

iii)          During the subsistence of your hiring, you shall not directly or indirectly, whether in your name or in the name of your agent, servant, assign or relatives or otherwise howsoever, engage yourself in any other profession or vocation, either part-time or full-time, which competes with and /or is adverse to the business interests of the Company.

iv)          You will hold in trust the Company’s money, property, other valuables as and when the same are entrusted to you and duly account for the same to the Company’s credit.

v)           You shall maintain complete confidentiality of the terms of the present hiring.  You shall also maintain complete secrecy and confidentiality of the business affairs of the Company.  Its business policies, data bases and all such information divulgence of which would promote businesses in competition to the business of the Company and which would otherwise be detrimental to the interests of the Company.  Such obligation will survive even after the termination of the instant hiring.

4.   Termination  :  This hiring is terminable by either party by giving a month’s notice.  Notice from your end is necessary to enable the Company to identify and hire a suitable replacement in your place.  Neither party is bound to assign any reason for such termination. 

a)      You shall hand over charge of the Company’s money, property, goods, stores, books of accounts, cheque books, seals, authorizations/power of attorneys executed in your favour and other documents in your possession, custody whereof was entrusted to you during the tenure of this hiring.

b)      You will vacate quarter / accommodation, if provided to you, immediately from the date of cessation of your employment entitling you to settle your dues with the Company, if any, failing which the management will reserve the right to withhold your dues and take appropriate action.

5.   Non-Competition  :  You shall not during the subsistence of this hiring indulge in any activity, directly or indirectly, whether in your name or in the name of your agent, servant, assign, or relatives or otherwise howsoever, indulge in any activity which is in competition or detrimental to the business of the Company.  Any attempt to lure or entice any employee of the Company to severe its employment with the Company would be deemed to be an activity which is in competition or detrimental to the business of the Company.  You shall also not enter into any understanding / agreement or any strategic tie up with any entity during the subsistence of this hiring which carries on any business which is of similar nature and in competition to the business carried on by the Company.

6.   Remedy for certain breaches  :  You acknowledge and agree that the covenants in clauses in 3(v) and 5 were negotiated at arms length and are reasonably required to protect the business of the Company and breach thereof would cause the Company and its affiliates irreparable loss, prejudice and injury.  As such the Company, in addition to any other remedy at law, would be entitled to injunctive relief.

7.   Waiver  :  Failure by the Company at any time to enforce any provision of this Contract of Hiring or to require performance by you of any provision hereof shall in no way affect the validity of this Contract of Hiring or any part hereof or the right of the Company at any time thereafter to enforce its rights hereunder, nor shall it be taken to constitute a condensation or waiver by the Company of that default or any other or subsequent default or breach.

8.   Modification / Alteration:  The Company reserves the right to add, to alter or amend the terms and conditions of the instant Contract of Hiring as presently recorded herein.

9.   You shall keep us duly informed of any change of your residential address.

10.         Notwithstanding anything hereinbefore contained, this Contract of Hiring is liable to be terminated without notice in the event it is found that you have committed a breach of any of the terms hereof. The Company’s decision in this regard shall be final and binding on you.  Such termination shall be without prejudice to any other rights the Company may be entitled to in law.

11.         Forum:  All disputes arising out of and / or touching and / or concerning these presents shall be subject to the exclusive jurisdiction of the Courts of Kolkata.

12.         You will report on duty to the President at Head Office.

Please countersign a copy of this Contract of Hiring as a token of your acceptance of the terms and conditions hereof.
