The Board was informed that Mr. Sachin Jain, Executive Director & CEO of Brand India Limited, one of the Group Company, had approached the Company showing their intention to assign Trade Marks Rights / Brand Rights owned by them in favour of the Company due to various ongoing legal cases / issues and problems being faced by them including the claims of Third Parties on the Trade Marks / Brand owned by them. Brand India Limited, due to their severe financial problems and inadequate resources, was not able to defend legal cases and issues and could not fight against third parties' claims on the Trade Marks / Brand owned by them in proper manner and was also not able to protect Trade Marks / Brand Rights.
The Board deliberated the matter at length and fixed up a tentative lump sum consideration and broad terms and conditions so that the same might be discussed, negotiated and mutually decided in between the Company and Brand India Limited.
The Board,
unanimously:
“RESOLVED
THAT Mr. Rahul Jain, Director of the Company, be and is
hereby authorized to represent the Company and to negotiate with the Authorized
Representative of Brand India Limited for fixing the broad terms and conditions
and lump sum consideration as may be mutually decided in between the Company and Brand India Limited for
obtaining assignment rights on the Trade Marks / Brand Rights owned by Brand
India Limited in the name of the Company and to apprise the Boad of the further
development at its subsequent meeting for the Board's taking final decision on
the matter.”
