The Chairman informed the Board that the Company is holding 55000 shares in Nagpur Apparel & Industries Ltd.(KSIL), which has gone into liquidation on 30.07.2017. In terms of Section 15 of SICA, the company is required to make a reference to the Board for Industrial and Financial Reconstruction (BIFR). Since KSIL is under liquidation, our company in capacity of contributor shall move the application for BIFR on behalf of KSIL.The Board discussed the matter in detail and after due deliberations it was unanimously decided by the Board to make a reference to the BIFR on behalf of KSIL by filing the Reference under Section15 of SICA. The Board authorised Mr. Sarat Paul, Director to take effective steps for filing the Reference including appointing of any Advocate or any other Professional to assist the company in filing and registering the reference with BIFR. In this regard the following resolution was passed.

Board for Industrial and Financial Reconstruction (BIFR) on behalf of KSIL since
KSIL has already gone into liquidation”.
“RESOLVED FURHER
THAT the approval is given to Mr.
Swapan Paul, Authorised Representative of the Company or the attorney appointed on behalf of the company to file the application,
make corrections, give clarifications, details and such other required
assistance for the purpose of filing the application until its registrations”.
